1. Scope of Application
These terms apply to offers, orders, sales and deliveries to businesses, public institutions, associations and other customers acting in the course of their business. The customer’s own purchasing terms apply only if expressly accepted in writing by RepNordic.
2. Offers and Conclusion of Contract
Offers are valid for 30 days unless otherwise stated. A contract is binding when RepNordic has sent an order confirmation or commenced delivery. Changes and additions must be agreed in writing.
3. Product Information and Advice
Product descriptions, data sheets, capacity specifications, compatibility information and other technical data are indicative unless expressly made part of the contract. The customer is responsible for product selection, sizing, compatibility, correct installation and compliance with the manufacturer’s instructions.
Advice is given on the basis of the customer’s information. RepNordic is not liable for consequences of incomplete, imprecise or incorrect information from the customer.
4. Prices
Prices are in Danish kroner exclusive of VAT, shipping, environmental fees, customs duties, taxes and other costs, unless otherwise stated. RepNordic may adjust the price before delivery in the event of documented changes in supplier prices, raw materials, currency, freight, energy, customs duties or public charges.
5. Payment
The payment term is net 14 days from the invoice date, unless otherwise stated in the offer or order confirmation. In the event of late payment, interest as well as statutory reminder and collection costs will be charged in accordance with applicable rules.
RepNordic may require prepayment, a deposit or security if the customer’s credit situation gives reasonable grounds for doing so. The customer may not withhold payment or set off claims that have not been acknowledged in writing.
6. Retention of Title
RepNordic retains title to delivered goods until the purchase price and all related costs have been paid, to the extent that retention of title is valid under applicable law.
7. Delivery and Risk
Place and method of delivery appear from the order confirmation. Delivery times are indicative unless a specific date has been expressly agreed as decisive. Partial deliveries may be made and invoiced separately.
Batteries may be subject to special rules on transport and dangerous goods. Unless otherwise agreed, the risk passes to the customer when the goods are handed over to the first independent carrier.
8. Delay
The customer may only cancel the delayed part of the contract if the delay is material and RepNordic fails to deliver within a reasonable written extension period. RepNordic is not liable for indirect losses resulting from delay.
9. Duty to Inspect and Complain
The customer must immediately on receipt inspect quantity, product type, packaging, transport damage and visible defects. Visible errors, transport damage and quantity discrepancies must be notified in writing no later than five working days after receipt. Hidden defects must be notified without undue delay after they were or ought to have been discovered.
10. Complaints Period and Remedies for Breach
A complaint must be made no later than 12 months after delivery, unless otherwise agreed in writing. RepNordic may at its own choice remedy the defect, make a replacement delivery, grant a proportional price reduction or credit the defective goods. Cancellation may only take place in the event of a material defect that has not been remedied within a reasonable time.
11. Matters That Do Not Constitute a Defect
- Incorrect sizing, product selection or incompatible components.
- Incorrect installation, connection or use of an unsuitable charger.
- Overcharging, deep discharge, short circuit or overload.
- Incorrect storage, lack of maintenance or environmental influence.
- Alterations, repairs or interventions carried out by others.
- Ordinary wear and tear and normal capacity reduction.
12. Returns
Goods may only be returned after prior written agreement. Stock items returned without a justified complaint may, by agreement, be credited with a deduction of a handling fee of 20 %, however minimum DKK 250 exclusive of VAT. Specially ordered, programmed, configured or customer-adapted goods will not be taken back.
Returns are at the customer’s expense and risk unless they result from a justified complaint. Batteries must be packed and transported in accordance with applicable safety and transport requirements. Damaged or leaking batteries must not be returned without specific instructions.
13. Guarantee
Any manufacturer’s guarantee applies on the manufacturer’s terms. RepNordic may assist with handling but is not the guarantor unless this is expressly stated.
14. Product Liability
RepNordic is liable under mandatory rules on product liability. To the extent permitted by law, RepNordic is not liable for damage to property in which the product is incorporated, connected to, or used for the manufacture or processing of.
15. Limitation of Liability
RepNordic is not liable for indirect losses, including loss of production, loss of profit, loss of data, loss of goodwill, lost savings or third-party claims. The total liability in respect of an order is limited to the customer’s payment for the goods or delivery to which the claim relates.
The limitations do not apply in cases of intent or gross negligence and do not limit liability that cannot lawfully be limited.
16. Force Majeure
RepNordic is not liable for failure or delay in performance due to circumstances beyond reasonable control, including natural events, war, official interventions, fire, strike, transport disruptions, energy shortages, cyber attacks, shortage of raw materials or components, material supplier failure, and export, import or sanctions restrictions.
If the impediment lasts more than 90 days, either party may cancel the affected, not yet delivered part of the contract.
17. Confidentiality and Intellectual Property Rights
Non-public commercial, technical and financial information must be treated as confidential. Drawings, calculations, offers, product material and technical documentation belong to RepNordic or the company’s suppliers and may not be copied or disclosed without written permission.
18. Personal Data
RepNordic processes contact and customer data for offers, order processing, delivery, credit assessment, customer service and fulfilment of legal obligations. See the applicable privacy policy on the Battery Supply Nordic website.
19. Governing Law and Venue
Any dispute is subject to Danish law. Disputes that are not resolved amicably shall be decided by the Court of Aalborg as the agreed venue, unless mandatory rules provide otherwise.
