1. Scope of Application
These terms apply exclusively to businesses, public institutions, associations and other legal persons that enter into the subscription in the course of their business. RepNordic’s general sales and delivery terms for business customers also apply to the individual deliveries. In the event of conflict, these subscription terms take precedence for the subscription relationship.
2. Content of the Subscription
The subscription covers the products, quantities, delivery intervals, places of delivery and any services set out in the specific subscription agreement or order confirmation. Services and products that are not expressly included are invoiced separately.
3. Commencement and Credit Approval
The subscription enters into force on the date stated in the order confirmation and is conditional on RepNordic’s credit approval. RepNordic may require prepayment, a deposit, payment card or other security.
4. Binding Period, Term and Termination
The subscription has an initial binding period of 12 months from the start date. Thereafter the subscription continues on a rolling basis and may be terminated in writing with three months’ notice to the end of a month.
Termination must be sent to moc.cidronylppusyrettab@ofni. The customer must pay all due amounts and fixed subscription payments up to the termination date.
5. Price and Invoicing
Prices are exclusive of VAT, shipping, environmental fees, taxes and other separately stated costs. The subscription is invoiced monthly in advance, unless otherwise stated in the order confirmation. Consumption-dependent deliveries may be invoiced in arrears according to actual consumption or agreed minimum consumption.
The payment term is net 14 days from the invoice date. In the event of late payment, RepNordic may charge interest as well as statutory reminder and collection costs.
6. Price Adjustment
RepNordic may adjust the subscription price once a year in accordance with the development in the net price index, however by a minimum of 2 %. In addition, the price may be adjusted with 30 days’ written notice in the event of significant changes in purchase prices, raw materials, currency, freight, energy, customs duties, public charges, environmental fees or legal requirements.
If an extraordinary price increase exceeds 10 %, the customer may terminate the affected part of the subscription with effect from the time of adjustment. The termination must be received no later than 10 working days after the notification. The right does not apply to changes that follow directly from VAT, customs duties or public charges.
7. Delivery Schedule
Deliveries take place according to the agreed schedule. Delivery times are indicative unless a specific date has been agreed in writing as decisive. RepNordic may consolidate, split or move deliveries within a reasonable period for reasons of stock, transport or safety.
Special rules on the transport of batteries may limit the carrier, destination, method of delivery and delivery time.
8. Forecasts and Changes in Consumption
The customer must provide reasonable and accurate information on expected consumption. If consumption is expected to deviate by more than 20 % from the agreed quantity, the customer must notify RepNordic as soon as possible. RepNordic does not guarantee immediate delivery of quantities that significantly exceed the agreed forecast. Lower consumption does not relieve the customer of an agreed minimum consumption.
9. Changes to the Subscription
Changes to product type, quantity, interval or place of delivery only become effective when RepNordic has accepted them in writing. Changes may result in a new price, delivery schedule, binding period or payment of documented special purchase and stock costs.
10. Customer’s Obligations
- Provide correct company, contact and delivery information.
- Ensure proper access and receiving conditions.
- Inspect deliveries on receipt.
- Store, charge, install and use the products correctly.
- Follow the manufacturer’s safety and maintenance instructions.
- Use qualified personnel where installation or service requires professional expertise.
11. Return Packaging and Used Batteries
Return of packaging, used batteries, cores or end-of-life products is only included if stated in the specific subscription agreement. The customer must store return products safely, sorted and in the designated packaging.
Damaged, leaking, deformed, hot or otherwise dangerous batteries must not be returned together with ordinary return products. The customer must contact RepNordic and follow specific instructions.
12. Inspection and Complaints
The customer must immediately inspect each delivery. Visible errors, damage or quantity discrepancies must be complained of in writing no later than five working days after receipt. Hidden defects must be notified without undue delay and no later than 12 months after delivery.
RepNordic may choose to remedy the defect, make a replacement delivery, grant a proportional price reduction or credit the defective delivery.
13. Capacity and Service Life
Information on expected service life, cycles, capacity and performance is based on specific test and operating conditions. Actual service life is affected by, among other things, temperature, charge and discharge pattern, load, charging equipment, maintenance and storage. Ordinary capacity reduction and wear and tear do not in themselves constitute a defect.
14. Suspension
RepNordic may suspend deliveries if the customer fails to pay on time, materially breaches the agreement, experiences a material deterioration in creditworthiness, or if delivery is assessed as illegal or unsafe. Suspension due to the customer’s circumstances does not relieve the customer of fixed subscription payments.
15. Early Withdrawal
In the event of the customer’s early withdrawal without RepNordic’s breach, RepNordic may claim remaining fixed payments in the binding period, non-amortised set-up and equipment costs as well as documented special purchases. The claim may not exceed RepNordic’s documented financial loss and the payments the customer would otherwise have been required to pay.
16. RepNordic’s Termination
After the binding period, RepNordic may terminate the agreement with three months’ written notice. RepNordic may also terminate the agreement if the range or supplier relationships cease, or if legislative and transport requirements make continuation unreasonably burdensome. A relevant alternative is offered as far as possible.
17. Material Breach
A party may terminate the agreement with immediate effect if the other party materially breaches and fails to remedy the situation within 10 working days after written notice. Material breach includes, among other things, repeated payment default, illegal or unsafe use, and material non-compliance with return or storage requirements.
18. Effects of Termination
On termination the customer must pay all outstanding amounts, return borrowed or rented equipment and return packaging and return products in accordance with the agreement. Ownership of fully paid products is not affected by the termination.
19. Liability
RepNordic is not liable for indirect losses, including loss of production, loss of profit, loss of data, loss of goodwill or lost savings. RepNordic’s total liability in any 12-month period is limited to the customer’s total subscription payments in the 12 months preceding the event giving rise to liability.
The limitation does not apply in cases of intent or gross negligence and does not cover liability that cannot lawfully be limited. RepNordic is liable under mandatory rules on product liability.
20. Force Majeure
RepNordic is not liable for failure or delay in performance due to circumstances beyond reasonable control, including supplier failure, shortage of raw materials, transport disruptions, energy shortages, official requirements, cyber attacks, conflict, natural events, strike, epidemic and export and import restrictions. If the circumstances last more than 90 days, either party may terminate the affected part without liability for future delivery.
21. Confidentiality and Assignment
The parties must treat non-public commercial, technical and financial information as confidential during the agreement and for five years after termination. The customer may not assign the subscription without RepNordic’s written consent. RepNordic may assign the agreement in connection with a business transfer or internal restructuring if the customer’s rights are not materially impaired.
22. Changes to the Terms
RepNordic may change the terms with 60 days’ written notice. Material changes to the customer’s disadvantage give a right of termination with effect from the entry into force of the change, unless the change follows from legislation, official requirements, safety needs or is solely administrative and does not place the customer in a worse position.

RepNordic processes contact and customer data for administration, invoicing, delivery, customer service and compliance with legal obligations. See the applicable privacy policy on the Battery Supply Nordic website.
24. Governing Law and Venue
The subscription is subject to Danish law. Disputes that are not resolved amicably shall be decided by the Court of Aalborg as the agreed venue, unless mandatory rules provide otherwise.
